Terms

These Terms apply when you access obnexo.com, request access to Obnexo, or use the Obnexo Google Sheets add-on. Obnexo is intended only for business and professional users, specifically accounting practices, and is not offered to consumers. By using Obnexo on behalf of a practice or other organisation, you confirm that you have authority to accept these Terms for it.

1. About Obnexo

Obnexo is operated by Meridian View Ltd, company number 16522958, whose registered office is 71–75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.

Obnexo is a Google Sheets-based company compliance workflow for UK accounting practices. It helps organise tracked companies, source information, practice dates, obligations, status, and actions in a spreadsheet-based working view.

2. Access and setup

Access to Obnexo may be subject to verification and security checks. We may limit, suspend, or decline access where reasonably necessary to protect the security, integrity, or capacity of the service.

You must use an authorised Google account and follow the setup instructions supplied to you. You are responsible for keeping your Google account, workbook, and access credentials secure. Do not share access credentials with anyone who is not authorised to act for your practice.

If a workbook is lost, replaced, transferred, or no longer trusted, you must use the supported recovery or replacement process. Access associated with an old workbook may be revoked when a replacement is confirmed.

3. Acceptable use

You must not:

• Use Obnexo unlawfully, fraudulently, or in a way that infringes another person's rights
• Attempt to bypass access controls, usage limits, verification, or security measures
• Probe, disrupt, overload, reverse engineer, or interfere with the service or its infrastructure, except where the law expressly permits it
• Introduce malicious code or use automated access that we have not authorised
• Use Obnexo to process unnecessary special category data, criminal-offence data, or other information inappropriate for the service
• Resell, sublicense, or provide Obnexo to third parties without our written permission

You are responsible for the lawfulness and accuracy of information that you or your practice enter into the workbook.

4. Companies House and source information

Obnexo processes public Companies House information and may use derived rules to present company obligations and working dates. Source information can be delayed, incomplete, corrected, unavailable, or changed after it is retrieved. Refreshes may also rely temporarily on previously retrieved information when a live source is unavailable.

We do not warrant that source information or an Obnexo result is complete, current, or error-free. You remain responsible for checking official records and primary sources before relying on information for a filing, payment, deadline, or client decision.

5. Practice dates, actions, and professional judgement

Obnexo can keep practice-maintained dates and actions visible alongside Companies House-derived information. A practice date is information chosen or confirmed by your practice. It is not an official Companies House date, and Obnexo does not independently approve it.

Obnexo does not file documents, make payments, provide legal, tax, or accounting advice, or make compliance decisions for you. It does not replace professional judgement, engagement procedures, internal controls, or responsibility for meeting statutory and client obligations.

6. Your Google account and workbook

Your workbook is stored in your Google Drive and is also subject to Google's terms and availability. You are responsible for managing access to it, maintaining appropriate backups and sharing settings, and ensuring that authorised users follow these Terms.

7. Availability and changes to the service

We aim to provide a reliable service, but Obnexo is supplied without a guaranteed service level unless we agree one separately in writing. Maintenance, source-system availability, provider failures, security events, and other circumstances may cause delays or interruptions.

We may add, change, limit, suspend, or discontinue features, supported obligations, data sources, capacity, or access arrangements. Where reasonably practicable, we will avoid changes that unnecessarily disrupt an active customer workflow and will give appropriate notice of material changes.

8. Operational communications

We may send setup, access, security, recovery, service, and support messages needed to operate Obnexo. These operational messages are not marketing subscriptions.

9. Intellectual property and trademarks

Obnexo, its software, documentation, website, workbook structure, branding, and related materials are owned by Meridian View Ltd or its licensors. Obnexo® is a registered trademark of Meridian View Ltd. Except for the limited right to use the service under these Terms, no intellectual-property rights are transferred to you.

You retain rights in information supplied by you or your practice. You grant us the limited rights needed to process that information solely to provide, secure, support, and improve the service in accordance with these Terms and the Privacy Policy.

10. Suspension and termination

You may stop using Obnexo at any time. We may suspend or terminate access where you breach these Terms, create a security or legal risk, fail to pay an agreed charge, or where continued provision is no longer reasonably practicable.

Where the circumstances allow, we will give reasonable notice and an opportunity to address the issue. We may act immediately where necessary to protect customers, data, the service, or third parties.

11. Disclaimers

To the extent permitted by law, Obnexo is provided on an "as available" basis. We do not guarantee uninterrupted availability or that every error, source-data issue, or compliance scenario will be identified. Nothing in these Terms affects rights that cannot lawfully be excluded or limited.

12. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to that paragraph, Meridian View Ltd will not be liable for indirect or consequential loss, loss of profit, revenue, business, anticipated savings, goodwill, or data arising from use of Obnexo. Our total aggregate liability arising out of or in connection with Obnexo will not exceed the greater of: (a) the fees paid by you for Obnexo in the 12 months preceding the event giving rise to the claim; and (b) £100.

13. Changes to these Terms

We may update these Terms when the product, access model, providers, or legal requirements change. We will publish the current version and effective date on this page. If a material change affects active users, we will provide reasonable notice where practicable.

14. Governing law

These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where applicable law requires otherwise.
